Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (and the company or entity you represent, if applicable) and Subspace Studios LLC (“we,” “us,” or “our”) governing your access to and use of the SprayFoamOps service, related websites, and any associated software (collectively, the “Service”). By registering, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

SprayFoamOps is a business tool for tracking job profitability (e.g., materials, labor, expenses, margins) and generating invoices. It is not accounting software, tax advice, legal advice, or a substitute for professional accounting, tax, or legal services. You are responsible for your own business decisions, record-keeping, and compliance with applicable laws.

2. Eligibility and Account

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity. You must provide accurate, current registration information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Subscription, Billing, and Payment

Access to the Service may require a paid subscription. Fees, billing cycles, and plan features are described on our pricing page and in the Service. By subscribing, you agree to pay all applicable fees. Payments are processed by our third-party payment provider (e.g., Stripe). You authorize us to charge the payment method you provide. All fees are non-refundable. We do not provide refunds or credits for partial periods, cancelled subscriptions, or unused time, except where required by applicable law. We may change fees upon reasonable notice; continued use after a fee change constitutes acceptance. Failure to pay may result in suspension or termination of access.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not: (a) violate any applicable law or regulation; (b) infringe any third-party rights; (c) transmit malware, spam, or harmful code; (d) attempt to gain unauthorized access to the Service, other accounts, or our systems or networks; (e) reverse engineer, decompile, or disassemble the Service (except as permitted by law); (f) use the Service to build a competing product or service; (g) resell or sublicense the Service without our written consent; or (h) use the Service in any way that could harm, disable, or overburden the Service or our infrastructure. We may suspend or terminate your access for violation of these terms.

5. Your Data and Our License

You retain ownership of the data you submit to the Service (“Your Data”). You grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Data as necessary to provide, operate, improve, and secure the Service and to comply with law. Our use of Your Data is also governed by our Privacy Policy. You are responsible for ensuring that you have the right to provide Your Data and that it does not violate any law or third-party rights. We do not claim ownership of Your Data.

6. Intellectual Property

The Service (including software, design, text, graphics, and other content we provide, excluding Your Data) is owned or licensed by Subspace Studios LLC and protected by intellectual property laws. You receive no ownership rights in the Service other than the limited right to use it in accordance with these Terms. Our names, logos, and related marks are our trademarks; you may not use them without our prior written consent.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SPRAYFOAMOPS IS A JOB PROFIT TRACKING AND INVOICING TOOL; IT IS NOT ACCOUNTING, TAX, OR LEGAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR BUSINESS DECISIONS, TAX OBLIGATIONS, AND COMPLIANCE WITH APPLICABLE LAWS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBSPACE STUDIOS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS ($100) IF GREATER). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Subspace Studios LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Data or your violation of any law or third-party rights; (c) your breach of these Terms; or (d) any dispute between you and a third party relating to the Service or your business use of it.

10. Termination

You may stop using the Service and close your account at any time (subject to our cancellation and data retention policies). We may suspend or terminate your access or account at any time for breach of these Terms, for non-payment, or for any other reason with or without notice where permitted by law. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. We will post updated Terms on this page and update the “Last updated” date. Material changes may be communicated via the Service or by email. Your continued use of the Service after such changes constitutes acceptance. If you do not agree to the new Terms, you must stop using the Service and may cancel your subscription.

12. General

These Terms constitute the entire agreement between you and Subspace Studios LLC regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the State of Kansas, United States, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Kansas. You consent to personal jurisdiction in such courts.
